These Terms & Conditions (“Terms”) govern your access to and use of the Crosspond platform, websites, dashboard and API (together, the “Services”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who we are
The Services are provided by Crosspond Software Solutions Ltd (“Crosspond”, “we”, “us” or “our”), a company registered in England and Wales (company number 12555350), with its registered office at Suite LP48647, 20-22 Wenlock Road, London, N1 7GU, United Kingdom. 2. Eligibility and accounts
- You must be at least 18 years old and able to form a legally binding contract to use the Services.
- You register using your email address and a one-time “magic link”. You are responsible for keeping access to your email account secure.
- You are responsible for all activity under your account and for keeping your API keys confidential. Treat API keys like passwords; anyone holding a key can incur charges on your balance. You can revoke keys at any time from your dashboard.
- You must provide accurate information and keep it up to date.
3. The Services
Crosspond provides a unified, OpenAI-compatible API that lets you access a range of third-party artificial intelligence models through a single endpoint and a prepaid balance. The specific models available may change over time. The Services act as a billing and access layer; the underlying models are operated by third-party providers.
4. Balance, fees and billing
- The Services operate on a prepaid balance. You add funds by purchasing a fixed top-up package. You receive the full amount you pay as account credit — we do not charge a fee on top-ups.
- Charges for your use of the Services are calculated based on your usage (including the model used and the volume of data processed) and are deducted from your balance in real time as you make requests. The amount charged for each request is shown in your activity history.
- Your balance is denominated and tracked in US Dollars (USD). Where a local-currency equivalent (such as Mozambican Metical, MZN) is shown, it is indicative only and for your convenience.
- Your balance does not expire. It is not a deposit, bank account or e-money, earns no interest, and cannot be transferred to another user.
- We may change our packages, pricing and the way usage is calculated. We will give reasonable notice of material changes; changes do not affect balance you have already purchased.
5. Payments and card processing
- Payments are processed by third-party, PCI-DSS-compliant payment service providers (for example, card processors and approved local payment providers). We do not collect or store your full payment card details; these are handled directly by the payment provider.
- By submitting a payment, you authorise the charge and confirm that you are authorised to use the relevant payment method.
- Top-ups are charged in USD. Your bank or card issuer may apply currency conversion or international transaction fees, for which we are not responsible.
- We are not currently registered for UK VAT, so no UK VAT is added to our prices. You are responsible for any taxes, duties or charges that may apply in your own country.
- If a payment is declined, reversed or fails, the corresponding credit will not be added (or may be removed) and we may suspend access until the matter is resolved.
- Chargebacks: if you believe a charge is incorrect, please contact us first at support@crosspond.uk. We may suspend or terminate accounts associated with unjustified chargebacks or payment disputes.
6. Refunds and cancellation
- Because account credit can be used immediately to access digital services, top-ups are generally non-refundable once purchased, except as set out below or as required by law.
- Errors: if you are charged in error, or a duplicate or incorrect payment is taken, contact us and we will refund the affected amount.
- Unused balance: at our discretion, we may refund unused, unconsumed credit on request, to the original payment method, less any irrecoverable transaction fees.
- Account credit is not redeemable for cash and cannot be withdrawn, except where a refund is required by law or granted by us under this section.
- Consumers’ statutory rights: if you are a consumer in the UK, you may have a statutory right to cancel within 14 days of purchase. However, by topping up and using the Services you request that we begin providing them immediately, and you acknowledge that you lose the right to cancel in respect of Services that have been fully performed and to the extent credit has been consumed. Any unconsumed credit may be refunded within the cancellation period. Nothing in these Terms affects your non-excludable statutory rights.

7. Acceptable use
You agree not to use the Services to:
- break any applicable law or regulation, or infringe anyone’s rights;
- generate or distribute unlawful, harmful, fraudulent, hateful or abusive content, including child sexual abuse material or content that promotes violence or self-harm;
- attempt to bypass usage metering or billing, resell access in breach of these Terms, or share API keys to circumvent limits;
- probe, scan, overload or disrupt the Services, or attempt to gain unauthorised access to any system or data;
- violate the acceptable-use or content policies of the underlying AI model providers.
We may set rate limits and other technical controls, and may refuse, throttle or remove activity that breaches this section.
8. AI models and outputs
- Outputs are generated by automated AI models and may be inaccurate, incomplete or offensive. You are responsible for evaluating outputs before relying on them, and for your use of any output.
- The Services are not a substitute for professional advice (including legal, medical or financial advice).
- Your use of the underlying models may also be subject to the relevant model providers’ terms and policies.
9. Availability and changes
We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue all or part of the Services, and may perform maintenance, at any time.
10. Intellectual property
We and our licensors own all rights in the Services (excluding your content and third-party models). You retain rights in the inputs you submit. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.
11. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. On termination, your right to use the Services ends; sections that by their nature should survive will continue to apply.
12. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available”, and we exclude all implied warranties. We do not warrant that outputs will be accurate or fit for any particular purpose.
13. Limitation of liability
Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or for fraud). Subject to that:
- we are not liable for indirect or consequential loss, loss of profits, revenue, data or goodwill; and
- our total liability arising out of or in connection with the Services is limited to the greater of (a) the amount you paid to us in the 3 months before the event giving rise to the claim, or (b) USD 100.
If you are a consumer, this section does not affect your statutory rights.
14. Indemnity
If you use the Services as a business, you agree to indemnify us against claims, losses and costs arising from your breach of these Terms or your misuse of the Services.
15. Privacy
We process personal data in accordance with our Privacy Policy, which forms part of these Terms.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new “last updated” date and, for material changes, take reasonable steps to notify you. Continued use after changes take effect constitutes acceptance.
17. Governing law and jurisdiction
These Terms and any dispute arising out of them are governed by the laws of England and Wales. The courts of England and Wales have non-exclusive jurisdiction, and nothing prevents a consumer from bringing proceedings in their country of residence where required by law.
